Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you confirm that:

• You have read, understood, and agree to be bound by these Terms
• You are at least 16 years of age
• You have the legal capacity to enter into a binding agreement
• If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms

We may update these Terms from time to time (see Section 14). Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Description of the Service

Allfred is a proactive AI personal assistant that helps you manage your communications, calendar, and relationships. The Service includes:

• Message Triage: Connecting to your WhatsApp account and email to analyze incoming messages and prioritize them based on importance
• Daily Briefings: Providing summaries of upcoming events, important messages, and relevant information
• Contact and Relationship Management: Identifying and tracking your important contacts and their communication patterns
• Calendar Integration: Accessing your Google Calendar to provide scheduling assistance
• Proactive Notifications: Alerting you to time-sensitive or important events and messages

The Service is currently in early access. Features may change, be added, or be removed as we continue development. We will make reasonable efforts to communicate significant changes.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 16 years of age to use Allfred. By creating an account, you represent that you meet this age requirement.

3.2 Account Security

You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that we reasonably believe are being accessed without authorization.

4. User Responsibilities

By using Allfred, you agree to:

• Provide accurate information: Do not provide false or misleading information during registration or use of the Service
• Use the Service lawfully: Do not use Allfred for any purpose that violates applicable law or regulations
• Respect third-party rights: Do not use the Service to infringe on the rights of others, including intellectual property, privacy, or contractual rights
• Not abuse the Service: Do not attempt to reverse engineer, decompile, or disassemble the Service; do not attempt to circumvent usage limits, security measures, or access controls; do not use automated tools to scrape or extract data from the Service
• Not interfere with the Service: Do not introduce malware, overload our systems, or take any action that disrupts the Service for other users
• Comply with third-party terms:When using Allfred's integrations with WhatsApp, Google, or other third-party services, you must also comply with those services' terms of use

5. Third-Party Services

5.1 Integration Disclaimer

Allfred integrates with third-party services including WhatsApp (Meta Platforms), Gmail, Google Calendar, and Google Contacts (Google). These integrations are provided for your convenience and are subject to the following:

• We are not affiliated with, endorsed by, or sponsored by Meta Platforms, WhatsApp, Google, or any other third-party service provider.
• Third-party services may change their APIs, terms, policies, or availability at any time, without notice to us.
• We do not guarantee the continued availability of any third-party integration.
• You are solely responsible for your compliance with the terms of service of any third-party service you connect to through Allfred.
• We are not responsible for any actions taken by third-party service providers, including suspension or termination of your account on their platform.

5.2 Authorization

By connecting a third-party service to Allfred, you authorize us to access and process data from that service as described in our Privacy Policy and as necessary to provide the Service. You may revoke this authorization at any time by disconnecting the service in the Allfred app.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, design, features, content, and documentation, is owned by Allfred and is protected by copyright, trademark, and other intellectual property laws.

6.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

6.3 Your Content

You retain ownership of all data and content you provide to or through the Service ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely as necessary to provide and improve the Service. We do not claim ownership of Your Content, and we do not use it to train AI models.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback for any purpose without obligation to you.

7. Pricing and Payment

7.1 Plans

Allfred offers the following subscription plans:

• Free: $0/month -- Basic features with limited access
• Pro: $20/month (or $200/year) -- Full daily-driver features
• Max: $50/month (or $500/year) -- Autonomous assistant with advanced features

Plan details, features, and pricing are subject to change. We will provide notice of material pricing changes to existing subscribers.

7.2 Early Access Promotion

The first 500 users who sign up for the Allfred waitlist at allf.red are eligible for 3 months free on any paid plan (Pro or Max) when the service launches. Eligibility is determined by waitlist position at the time of registration. This promotion applies to the first billing period only and cannot be combined with other offers.

7.3 Billing and Auto-Renewal

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

7.4 Cancellation

You may cancel your subscription at any time through the Allfred app or by contacting us. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• No refunds will be issued for partial billing periods
• Your account will revert to the Free plan at the end of the billing period

7.5 Refunds

We generally do not issue refunds for subscription fees. However, if you believe a charge was made in error, please contact us at legal@allf.red within 14 days of the charge.

7.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at your next renewal date after the notice period.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Allfred, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
• We shall not be liable for any loss or damage resulting from actions taken by third-party services, unauthorized access to your account due to your failure to maintain account security, or any content or communications processed through the Service.

Nothing in these Terms excludes or limits liability that cannot be lawfully excluded or limited, including liability for fraud, gross negligence, or willful misconduct.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Allfred is currently in early access. You acknowledge that the Service may contain bugs, may be incomplete, and may change substantially. Early access features are provided for evaluation purposes and should not be relied upon for critical decision-making.

The AI assistant may produce inaccurate, incomplete, or inappropriate responses. You are solely responsible for verifying any information provided by the Service.

10. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting your account through the Allfred app or by contacting us at legal@allf.red.

11.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms
• Your use of the Service poses a security risk or may cause harm to other users
• We are required to do so by law
• We discontinue the Service (in which case we will provide reasonable notice)

11.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• All data associated with your account will be permanently deleted in accordance with our Privacy Policy
• Any outstanding payment obligations will survive termination
• Sections 6, 8, 9, 12, and 13 of these Terms will survive termination

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@allf.red and attempt to resolve the dispute informally for a period of at least 30 days.

13.2 Jurisdiction

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel.

13.3 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

14. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Notify you via the Allfred app or email at least 14 days before the changes take effect
• Post the updated Terms on our website

If you do not agree with the updated Terms, you may terminate your account before the changes take effect.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Allfred regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control.
